Molekule Inner Circle™ Program Terms and Conditions

Welcome to Molekule Group, Inc., (including its predecessor MKUL, Inc., collectively “Molekule”, “we”, “us”, or “our”).  

Please carefully read these Molekule Inner Circle™ Program (“Loyalty Program”) Terms and Conditions (the “Loyalty Terms”), the related Molekule Terms and Conditions For Services (the “Terms”) and the Molekule Privacy Policy (the “Privacy Policy”) which are incorporated herein by reference, because they govern (i) our relationship with you as a member of the Loyalty Program (collectively, “Members,” and individually, a “Member”, “you”, or “your”) and (ii) your enrollment and participation in the Loyalty Program.  

These Loyalty Terms constitute a binding legal agreement between you, as a member in the Loyalty Program, and us, as the provider of the Loyalty Program. Your access to, and use of, the Loyalty Program requires your compliance with these Loyalty Terms, including the Molekule Terms and Conditions For Services and the Molekule Privacy Policy.  

When you first sign up and create an account on www.molekule.com (the “Site Account”) you: (i) are automatically enrolled in the Loyalty Program, (ii) are assigned a Loyalty Program account (a “Loyalty Account”), and (iii) have agreed to be bound by all of the Loyalty Program’s Loyalty Terms. If you no longer want to participate in the Loyalty Program, or do not agree with the Loyalty Terms, you are required to contact customer support at (855) 999-9069 or support@molekule.com to terminate your membership in the Loyalty Program.  You are bound by the Loyalty Terms until you have terminated your membership in the Loyalty Program in accordance with these Loyalty Terms.  

Molekule, in its sole discretion, may terminate the Loyalty Program, in whole or in part, with forty-five (45) days advance email notice to all active Members (using the email address in your Site Account at time of such notice), or as otherwise permitted by applicable law. Commencing on the date that such Loyalty Program termination notice is first sent, you will have ninety (90) days to redeem any accumulated Points (as defined below) existing in your Loyalty Account. Upon Loyalty Program termination, all unredeemed Points in your Loyalty Account will be forfeited by you without any liability to us. No redemption or Reward (as defined below) claims will be honored by us after the expiration of such 90-day notice period. All Loyalty Program benefits, amenities, offers, awards, Rewards and services for Members are subject to availability and may be changed by Molekule at any time without notice.  

At Molekule’s sole discretion, we may choose to substitute another loyalty program for the Loyalty Program at any time immediately upon email notice to active Members. Except as otherwise expressly prohibited or limited by applicable law, Molekule may, at any time, amend, supplement, change or modify, in its sole and absolute discretion, any aspects of the Loyalty Program, with or without notice, even though such actions may affect the value of Points or Rewards, the structure for earning Points or redeeming Rewards, or the ability to obtain certain Points or Rewards. Members are responsible for remaining knowledgeable of, and keeping up to date with, the Loyalty Terms, including any changes, revisions, or modifications to them as are posted from time to time on the Site. Your continued participation in the Loyalty Program will constitute your acceptance of all such Loyalty Program changes and modifications. 

BY PARTICIPATING IN THE LOYALTY PROGRAM, YOU AGREE TO BE BOUND BY THE LOYALTY TERMS, INCLUDING WITHOUT LIMITATION, LIMITING MOLEKULE’S LIABILITY, WAIVING THE RIGHT TO JURY TRIAL, AND REQUIRING THE RESOLUTION OF DISPUTES ON AN INDIVIDUAL NON-CLASS BASIS, EACH AS INCLUDED IN THE TERMS. THE LOYALTY TERMS AND THE TERMS AFFECT YOUR RIGHTS ON HOW TO RESOLVE DISPUTES WITH MOLEKULE. IF YOU DO NOT AGREE TO ALL OF THE LOYALTY TERMS, INCLUDING THE TERMS AND PRIVACY POLICY INCORPORATED THEREIN BY REFERENCE, DO NOT PARTICIPATE IN THE LOYALTY PROGRAM. 

1. Introduction 

The Loyalty Program allows eligible Site visitors to enroll and participate in the Loyalty Program by creating a Loyalty Account at www.molekule.com. Through the Loyalty Program, subject to the Loyalty Terms, you are provided the opportunity to earn points (“Points”) by participating in various activities and/or purchases of Molekule products, some of which are described below. Members, on an “AS IS” and “AS AVAILABLE” basis, can redeem their Points from time to time for various Rewards. The Loyalty Terms govern the Loyalty Program along with any other terms or policies incorporated therein by reference into these Loyalty Terms such as the Terms and the Privacy Policy. In the event of any conflict or inconsistency between these Loyalty Terms and the Terms or Privacy Policy, the Terms and/or Privacy Policy will prevail, govern, and control.  

2. Eligibility 

The Loyalty Program is provided to individuals only. Your participation in the Loyalty Program requires that you have first read, understood, and unconditionally consented and agreed to these Loyalty Terms. If you have any questions about the Loyalty Program, you should contact Member Support at 855-999-9069 or support@molekule.com

 

Membership in the Loyalty Program is free and available to any individual who: (i) is a legal resident of one of the fifty (50) United States or the District of Columbia, (ii) is eighteen (18) years of age or older and possesses the legal authority to agree to the Loyalty Terms, (iii) creates a Site Account; (iv) provides valid and accurate personal information when creating their Site Account; (v) has not had their access to the Site terminated or suspended; and (vi) has not been terminated previously from the Loyalty Program.  

Once you properly complete and submit all information required to open your Site Account, you are automatically enrolled in the Loyalty Program and assigned a Loyalty Account. All information requested to obtain a Site Account must be completed in full and be true and correct. The Loyalty Program is only for your own personal use. Molekule reserves the right to request materials to verify your identity in connection with your use of the Site Account and/or Loyalty Account. You should not give your Site Account password to any other person. You are responsible for all activity in your Site Account and any use of your password in connection therewith.  

Members may not use the Loyalty Program for commercial purposes, or in any way that harms Molekule or any other person or entity, as determined by Molekule in its sole discretion. A Member Loyalty Account can only be used by the Member whose name is listed on the Loyalty Account. If you attempt to obtain more than one Loyalty Account, all Points in your Loyalty Account(s) may be forfeited, and Molekule may, in its sole discretion, terminate your Member status in the Loyalty Program.  

Officers, directors and employees of Molekule and its subsidiaries, (each, a “Program Entity”, and collectively, the “Program Entities”) may participate in the Loyalty Program but may not be allowed to redeem Points for certain Rewards and may otherwise be subject to restrictions that do not generally apply to how Points are earned or used by non-Program Entity Members. Corporations, associations, or other groups may not participate in the Loyalty Program. It will be considered fraudulent for any individual, company, club, association, or group to use or to direct, encourage, or allow other persons to use a single Loyalty Account for the purpose of accumulating or aggregating Points for combined use.  

Participation in the Loyalty Program constitutes each Member’s permission for Molekule to use the Member’s first name, photograph, likeness, voice, general biographical information, statements, address (city and state only) and a description of any Rewards won, for advertising and/or publicity purposes worldwide, and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. 

 

 

3. Deactivate or Delete Loyalty Account. 

You can withdraw from the Loyalty Program and deactivate your Loyalty Account by submitting a request to 855-999-9069 or support@molekule.com. If you request to withdraw from the Loyalty Program, you will permanently lose any Points and Rewards that your Loyalty Account had accumulated. Such Points and Rewards will not be restored if you later sign up for a Loyalty Account. 

4. Unsubscribe from Emails/Texts. 

The easiest way to opt out of marketing from Molekule is by following the instructions on the messages you receive from us.  A text message may indicate, for example, that you may reply STOP to halt further marketing messages, while an email may include a link to click to “UNSUBSCRIBE.” 

5. Membership Tiers.  

Upon opening your Loyalty Account, Molekule will, in its sole determination, assign you a membership tier status of Bronze, Silver, or Gold (each, a “Membership Tier”).  Thereafter, your Loyalty Program status membership in the Bronze and Silver tiers will be determined based on the number of Points that such Member receives in their Loyalty Account during the preceding twelve months (the “Rewards Year”) as determined by Molekule. Members will only be assigned to the Gold tier if they participate in an automatic recurring subscription for Molekule filters.  

Details regarding the Membership Tiers and how the Rewards Year is calculated are available at molekule.com/pages/inner-circle. Once a Member reaches a certain Membership Tier status, the Member will retain that status for twelve months. After twelve months have passed, the Member will either remain at the same tier or move down to a different tier according to the number of points received or other qualifications. At any time in the Rewards Year, if the Member receives enough Points or otherwise qualifies to move up a Membership Tier, then that change will automatically take place at that time. Points from one Rewards Year do not roll over to a subsequent Rewards Year for purposes of determining Membership Tier. Molekule reserves the right to change, modify, or update the number of Points or other actions and requirements needed to earn each Membership Tier status and benefits. 

6. Earning Points. 

Members have many ways to earn Points in the Loyalty Program (“Eligible Program Activities”), which can be redeemed for Rewards. Eligible Program Activities are defined in the following ways below (subject to change). For details related to number of Points associated with Eligible Program Activities for each Membership Tier, please visit molekule.com/pages/inner-circle

  • Signing Up for a Loyalty Account. Members can earn Points by opening a Site Account and automatically becoming a Member of the Loyalty Program via molekule.com/pages/inner-circle or by agreeing to become a Member when making certain qualifying purchases. 
  • Making Purchases on the Site.  Members can earn Points by purchasing Molekule products via the Site. The Members will receive Points for each U.S. dollar spent on the Site (pre-taxes and fees, after applicable discounts, and rounded to the nearest dollar). The number of Points earned per dollar spent is contingent upon each Member’s Membership Tier. You cannot earn points on orders placed through third-party resellers or retailers, such as Amazon, Walmart, or Target. Molekule may choose to offer limited time promotions during which some purchases will be eligible for “Bonus Points.” All Points are automatically added for eligible purchases, or deducted for eligible returns, to a Member’s Loyalty Account. 
  • Referrals. The Loyalty Program may provide you, as a Member, with the opportunity to earn Points for referring your friends to purchase qualifying Molekule products from us and your referred friend thereafter uses your referral discount code/link to make a qualifying Molekule purchase (“Referral Points”). Referrals can be made in a number of different ways (see https://molekule.com/pages/inner-circle ). Referral Points will be issued to your Loyalty Account only once per qualifying referral. 
  • Birthday Points. The Loyalty Program may provide Members with the opportunity to earn Points at or around their birthday of record if they choose to enter that information in their Loyalty Account (“Birthday Points”). To receive Birthday Points, Molekule may require you to have been a Member for a certain amount of time prior to your birthday of record and/or meet certain minimum purchase or Points requirements. 
  • Opt-in to Promotional Communications. The Loyalty Program may provide Members with the opportunity to earn Points in exchange for signing up to receive promotional and marketing offers from Molekule. 
  • Social Media Activity. The Loyalty Program may provide Members with the opportunity to earn Points by following Molekule accounts on social media, including Instagram and Facebook. 
  • Posting Reviews. The Loyalty Program may provide Members with the opportunity toearn points by posting reviews on the Site. Any review posted to earn points must include the hashtag “#MolekuleLoyaltyProgramReview.” Reviews that include a photo are eligible for additional Points. 

Molekule reserves the right, in its sole discretion, to determine and modify, at any time, the value of Points and the number of Points, or the type of Reward, that may be earned for any given Loyalty Program activity. 

7. Points and Rewards Redemption and Restrictions. 

Members may redeem Points for rewards as determined by Molekule in its sole discretion (each, a “Reward”). Available Rewards include future discounts on Molekule products purchased on the Site. The Rewards, Point redemption values, and Points per dollar spend, are posted on the Site at https://molekule.com/pages/inner-circle  and are subject to change in Molekule’s sole discretion at any time without prior notice. 

Points are normally posted to your Loyalty Account within fifteen (15) days from your corresponding Eligible Program Activities. When redeeming Points from your Loyalty Account for a Reward, Molekule will first redeem the oldest Points in your Loyalty Account (meaning first Points earned that are in your account at the time of the Reward redemption) and then redeem, as applicable, the Points in your account that were earned thereafter, until the Reward redemption amount has been satisfied. Please note that your Loyalty Account Points will expire within 18 months of first earning them (from the date of your corresponding Eligible Program Activity). For example, if a Member’s Eligible Program Activities (e.g., makes a purchase) occur on January 1, then that Member’s Points earned from that activity will expire on July 1 of the following year if they are not earlier used, whether in whole or in part, for a Reward redemption.  

The expiration date for your use of a redeemed Reward, if any, will be disclosed when the Reward is presented and may vary for different categories of Rewards. You may view your current earned Points and redeemed unused Rewards by logging into your Loyalty Account. Molekule, in its sole discretion, may impose a limit on the number of Points or Rewards in the aggregate or by type that may be earned or redeemed per Loyalty Account, per day, per Reward, or per any other generally-applicable metric that may be selected by Molekule from time to time in its sole discretion. Points are not accrued on any Reward redemption.  

Molekule reserves the right, at any time, to modify, amend, or revise, in its sole discretion, (i) the Rewards available, (ii) the number of Points required to redeem any Reward may be substantially increased, (iii) withdraw any Reward, and (iv) impose restrictions and other terms and conditions associated with any Reward or its redemption. Rewards are non-assignable and non-transferable. Any Rewards assigned or transferred in violation of these Loyalty Terms may be confiscated or canceled.  

Members shall be solely responsible for all federal, state, and/or local taxes including, without limitation, income taxes and any reporting consequences thereof in connection with a Reward. If required by law, as determined by Molekule in its sole discretion, Molekule reserves the right to withhold and remit to the appropriate taxing authorities the amount of any taxes due. 

Points and Rewards have no cash value and may not be redeemed for cash and may not be sold, auctioned, bartered, brokered, purchased, transferred, assigned, or used to engage in any gambling activity. Any Points or Rewards obtained in this manner by any person or entity will be considered to have been fraudulently obtained and deemed void and such Points and Rewards may be confiscated or cancelled by Molekule in its sole discretion. Points and Rewards must be redeemed in accordance with these Loyalty Terms, in effect at the time of such redemption. Points and Rewards will not be replaced, reissued, or credited if lost, stolen, or otherwise altered or destroyed.  

Once you have redeemed your Points for a Reward, your Points are removed from your Loyalty Account and your Point redemption Reward transaction is final, and cannot thereafter be cancelled, reversed, or refunded, for any reason. Even if you return the products, merchandise, or other item(s) that you received using your Reward, no Points or Rewards will be credited back to your Loyalty Account. 

8. Modification and Termination. 

In addition to as provided elsewhere in these Loyalty Terms, and without limiting such other provisions: 

Molekule may modify any of these Loyalty Terms, including, but not limited to, the methods through which Points or Rewards can be earned, how Points or Rewards can be used, the types of Points available, the Membership Tiers, and the conditions under which Points or Rewards may expire or be forfeited, at any time, with or without notice, even though these changes may affect a Member's ability to use the Points or Rewards that the Member has already earned. The Loyalty Program has no predetermined termination date and may continue until such time that Molekule decides to terminate the Loyalty Program.  

If Molekule amends these Loyalty Terms, it will revise the “last updated” date located at the top of these Loyalty Terms. For changes to these Loyalty Terms that Molekule considers to be material, Molekule may place a notice on the Site by revising the link on the home page to read substantially as “Updated Molekule Inner Circle™ Program Terms and Conditions” for an amount of time that we determine in our discretion. If you continue to participate in the Loyalty Program by earning Points or Rewards, redeeming Points or Rewards, logging onto your Loyalty Account or in any other way after these Loyalty Terms have been changed and posted, you will be deemed to have read, understood, and unconditionally consented and agreed to such changes. The most current version of these Loyalty Terms will be available on the Site and will supersede all previous versions of these Loyalty Terms. 

Members may not rely on continued Points or Reward availability. Molekule makes no representation or warranty about the number or type of Rewards that may be available after Loyalty Program termination has been announced, and many Rewards that may have been available prior to termination may quickly become depleted or otherwise unavailable once the Loyalty Program termination has been announced. Any Points or Rewards remaining in a Member's Loyalty Account at the time of Loyalty Program termination will be forfeited and no compensation will be provided.  

Molekule may cancel your membership in the Loyalty Program, cancel accumulated Points or Rewards, alter the number of Points or Rewards in your Loyalty Account, or suspend your Loyalty Program membership privileges at any time with immediate effect if Molekule determines in its sole discretion that you have: (a) acted in a manner inconsistent with applicable laws or ordinances; (b) acted in a fraudulent or abusive manner; (c) breached any of these Loyalty Terms; (d) engaged in any fraud or abuse concerning Points or Rewards, Points/Rewards usage or Points/Rewards redemption; (e) acting in an unethical or disruptive manner; (f) acting with intent to annoy, abuse, threaten or harass Molekule, its representatives, or any other Member in any manner related to the Loyalty Program; or (f) engaged in any conduct or act that causes Molekule to terminate or suspend your access to your Loyalty Account. Molekule may also take appropriate administrative or legal action if any of the items listed above occurs. Nothing contained in these Loyalty Terms shall limit Molekule in its exercise of any legal or equitable rights or remedies it may have against you, except as otherwise provided in Section 12 or in the Terms. 

9. Electronic Communications. 

When you visit the Site or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically, including targeted emails, surveys, promotional offers, and for other general business purposes. We will communicate with you by e-mail or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Loyalty Terms. We reserve the right to send you emails for administrative purposes even if you opt out of marketing communications. If you consented to receive SMS messages sent to your mobile phone, then you will receive marketing and transactional messages sent via auto dialer. You are not required to consent to receive these messages to receive the goods and services associated with the Loyalty Program. Message and data rates may apply to your receipt of these SMS messages. You may opt out of receiving SMS messages or emails at any time. 

 

10. General Terms and Conditions. 

ACCRUED POINTS AND REWARDS DO NOT CONSTITUTE PROPERTY OF A MEMBER AND HAVE NO VALUE OUTSIDE OF THE LOYALTY PROGRAM. POINTS AND REWARDS ARE CREDITS THAT MOLEKULE MAY REVOKE AT ANY TIME AS SET FORTH HEREIN. POINTS AND REWARDS ARE NOT TRANSFERABLE UPON DEATH, AS PART OF A DOMESTIC RELATIONS MATTER, OR OTHERWISE.  

If a Member believes that the Member’s Loyalty Account does not properly reflect Points or Rewards earned from engaging in any activities, the Member must contact Molekule to resolve the issue. Any attempt by any person to undermine the legitimate operation of the Loyalty Program may be a violation of criminal and civil law. Should such an attempt be made by you, Molekule reserves the right to seek damages from you to the fullest extent permitted by law.  

Molekule’s failure to enforce any of these Loyalty Terms shall not constitute a waiver of the affected provision, or any other provision. All questions or disputes regarding an individual’s eligibility for the Loyalty Program, the earning, crediting or use of Points or Rewards, or a Member’s compliance with these Loyalty Terms will be resolved by Molekule in its sole discretion. 

11. Loyalty Program Malfunctions and Conduct. 

In addition to as provided elsewhere in these Loyalty Terms, and without limiting such other provisions: 

The Program Entities are not responsible for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, or difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Additionally, the Program Entities are not responsible or liable for any computer, programming, printer errors or the issuance of any unintended Points or Rewards. In no event will Program Entities be liable for, and Members expressly release the Program Entities from any claims as to the issuance of any unintended Points or Rewards.  

In the event Molekule is prevented from continuing with the Loyalty Program by any event beyond its control (each a “Force Majeure” event or occurrence), including but not limited to: (i) fire, flood, earthquake, windstorm, epidemic, pandemic, public health crisis, disease, virus, sickness or outbreak or other similar or dissimilar natural disaster; (ii) act of God or public enemy; (ii) riot or civil disturbance, act of any government or governmental authority, power failure, satellite or equipment failure, failure of telecommunications lines or failure or breakdown of plant, machinery or vehicles operated by a third party; (iii) labor dispute, strike, or lockout; (iv) actual or threat of war, armed conflict, terrorist attacks, war (declared, undeclared or threatened), explosion, nuclear, or chemical or biological contamination; (v) or a government imposed travel ban, restriction on movement or gatherings, or other government imposed mandate of any kind, order of any court or jurisdiction, or other cause not reasonably within Molekule’s control, Molekule shall have the right to modify, suspend, or terminate the Loyalty Program, in whole or in part, in its sole discretion. 

12. Dispute Resolution and Class Action Waiver. 

You and Molekule agree that all disputes pertaining to the Loyalty Program or these Loyalty Terms will be resolved pursuant to the dispute resolution provisions provided for in the Terms and that such Terms shall govern and control in the event of a conflict or ambiguity with these Loyalty Terms.  

YOU AND MOLEKULE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER FOR DISPUTES PERTAINING TO THE LOYALTY PROGRAM OR THESE LOYALTY TERMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 

YOU AND MOLEKULE HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY AND ALL RIGHTS EACH OF THEM MAY HAVE (INCLUDING BUT NOT LIMITED TO, THEIR CONSTITUTIONAL OR STATUTORY RIGHT) TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING FOR ANY DISPUTE, INCLUDING BUT NOT LIMITED TO DISPUTES ARISING OUT OF, FROM, OR RELATING TO THESE LOYALTY TERMS OR THE RELATIONSHIP OF SUCH PARTIES. 

13. Privacy. 

Unless otherwise indicated in these Loyalty Terms, by participating in the Loyalty Program, Members agree that Molekule will use the personal information collected about them in connection with the Loyalty Program as set forth in Molekule’s Privacy Policy. 

14. Severability. 

If any provision of these Loyalty Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

Commencing on the date that such Loyalty Program termination notice is first sent, you will have ninety (90) days to redeem any accumulated Points (as defined below) existing in your Loyalty Account. Upon Loyalty Program termination, all unredeemed Points in your Loyalty Account will be forfeited by you without any liability to us. No redemption or Reward (as defined below) claims will be honored by us after the expiration of such 90-day notice period. All Loyalty Program benefits, amenities, offers, awards, Rewards and services for Members are subject to availability and may be changed by Molekule at any time without notice.  

At Molekule’s sole discretion, we may choose to substitute another loyalty program for the Loyalty Program at any time immediately upon email notice to active Members. Except as otherwise expressly prohibited or limited by applicable law, Molekule may, at any time, amend, supplement, change or modify, in its sole and absolute discretion, any aspects of the Loyalty Program, with or without notice, even though such actions may affect the value of Points or Rewards, the structure for earning Points or redeeming Rewards, or the ability to obtain certain Points or Rewards. Members are responsible for remaining knowledgeable of, and keeping up to date with, the Loyalty Terms, including any changes, revisions, or modifications to them as are posted from time to time on the Site. Your continued participation in the Loyalty Program will constitute your acceptance of all such Loyalty Program changes and modifications. 

BY PARTICIPATING IN THE LOYALTY PROGRAM, YOU AGREE TO BE BOUND BY THE LOYALTY TERMS, INCLUDING WITHOUT LIMITATION, LIMITING MOLEKULE’S LIABILITY, WAIVING THE RIGHT TO JURY TRIAL, AND REQUIRING THE RESOLUTION OF DISPUTES ON AN INDIVIDUAL NON-CLASS BASIS, EACH AS INCLUDED IN THE TERMS. THE LOYALTY TERMS AND THE TERMS AFFECT YOUR RIGHTS ON HOW TO RESOLVE DISPUTES WITH MOLEKULE. IF YOU DO NOT AGREE TO ALL OF THE LOYALTY TERMS, INCLUDING THE TERMS AND PRIVACY POLICY INCORPORATED THEREIN BY REFERENCE, DO NOT PARTICIPATE IN THE LOYALTY PROGRAM. 

1. Introduction 

The Loyalty Program allows eligible Site visitors to enroll and participate in the Loyalty Program by creating a Loyalty Account at www.molekule.com. Through the Loyalty Program, subject to the Loyalty Terms, you are provided the opportunity to earn points (“Points”) by participating in various activities and/or purchases of Molekule products, some of which are described below. Members, on an “AS IS” and “AS AVAILABLE” basis, can redeem their Points from time to time for various Rewards. The Loyalty Terms govern the Loyalty Program along with any other terms or policies incorporated therein by reference into these Loyalty Terms such as the Terms and the Privacy Policy. In the event of any conflict or inconsistency between these Loyalty Terms and the Terms or Privacy Policy, the Terms and/or Privacy Policy will prevail, govern, and control.  

2. Eligibility 

The Loyalty Program is provided to individuals only. Your participation in the Loyalty Program requires that you have first read, understood, and unconditionally consented and agreed to these Loyalty Terms. Membership in the Loyalty Program is free and available to any individual who: (i) is a legal resident of one of the fifty (50) United States or the District of Columbia, (ii) is eighteen (18) years of age or older and possesses the legal authority to agree to the Loyalty Terms, (iii) creates a Site Account; (iv) provides valid and accurate personal information when creating their Site Account; (v) has not had their access to the Site terminated or suspended; and (vi) has not been terminated previously from the Loyalty Program.  

Once you properly complete and submit all information required to open your Site Account, you are automatically enrolled in the Loyalty Program and assigned a Loyalty Account. All information requested to obtain a Site Account must be completed in full and be true and correct. The Loyalty Program is only for your own personal use. Molekule reserves the right to request materials to verify your identity in connection with your use of the Site Account and/or Loyalty Account. You should not give your Site Account password to any other person. You are responsible for all activity in your Site Account and any use of your password in connection therewith.  

Members may not use the Loyalty Program for commercial purposes, or in any way that harms Molekule or any other person or entity, as determined by Molekule in its sole discretion. A Member Loyalty Account can only be used by the Member whose name is listed on the Loyalty Account. If you attempt to obtain more than one Loyalty Account, all Points in your Loyalty Account(s) may be forfeited, and Molekule may, in its sole discretion, terminate your Member status in the Loyalty Program.  

Officers, directors and employees of Molekule and its subsidiaries, (each, a “Program Entity”, and collectively, the “Program Entities”) may participate in the Loyalty Program but may not be allowed to redeem Points for certain Rewards and may otherwise be subject to restrictions that do not generally apply to how Points are earned or used by non-Program Entity Members. Corporations, associations, or other groups may not participate in the Loyalty Program. It will be considered fraudulent for any individual, company, club, association, or group to use or to direct, encourage, or allow other persons to use a single Loyalty Account for the purpose of accumulating or aggregating Points for combined use.  

Participation in the Loyalty Program constitutes each Member’s permission for Molekule to use the Member’s first name, photograph, likeness, voice, general biographical information, statements, address (city and state only) and a description of any Rewards won, for advertising and/or publicity purposes worldwide, and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. 

 

 

3. Deactivate or Delete Loyalty Account. 

You can withdraw from the Loyalty Program and deactivate your Loyalty Account by submitting a request to 855-999-9069 or support@molekule.com. If you request to withdraw from the Loyalty Program, you will permanently lose any Points and Rewards that your Loyalty Account had accumulated. Such Points and Rewards will not be restored if you later sign up for a Loyalty Account. 

4. Unsubscribe from Emails/Texts. 

The easiest way to opt out of marketing from Molekule is by following the instructions on the messages you receive from us.  A text message may indicate, for example, that you may reply STOP to halt further marketing messages, while an email may include a link to click to “UNSUBSCRIBE.” 

5. Membership Tiers.  

Upon opening your Loyalty Account, Molekule will, in its sole determination, assign you a membership tier status of Bronze, Silver, or Gold (each, a “Membership Tier”).  Thereafter, your Loyalty Program status membership in the Bronze and Silver tiers will be determined based on the number of Points that such Member receives in their Loyalty Account during the preceding twelve months (the “Rewards Year”) as determined by Molekule. Members will only be assigned to the Gold tier if they participate in an automatic recurring subscription for Molekule filters.  

Details regarding the Membership Tiers and how the Rewards Year is calculated are available at molekule.com/pages/inner-circle. Once a Member reaches a certain Membership Tier status, the Member will retain that status for twelve months. After twelve months have passed, the Member will either remain at the same tier or move down to a different tier according to the number of points received or other qualifications. At any time in the Rewards Year, if the Member receives enough Points or otherwise qualifies to move up a Membership Tier, then that change will automatically take place at that time. Points from one Rewards Year do not roll over to a subsequent Rewards Year for purposes of determining Membership Tier. Molekule reserves the right to change, modify, or update the number of Points or other actions and requirements needed to earn each Membership Tier status and benefits. 

6. Earning Points. 

Members have many ways to earn Points in the Loyalty Program (“Eligible Program Activities”), which can be redeemed for Rewards. Eligible Program Activities are defined in the following ways below (subject to change).   • Signing Up for a Loyalty Account. Members can earn Points by opening a Site Account and automatically becoming a Member of the Loyalty Program via molekule.com/pages/inner-circle or by agreeing to become a Member when making certain qualifying purchases. 
  • Making Purchases on the Site.  Members can earn Points by purchasing Molekule products via the Site. The Members will receive Points for each U.S. dollar spent on the Site (pre-taxes and fees, after applicable discounts, and rounded to the nearest dollar). The number of Points earned per dollar spent is contingent upon each Member’s Membership Tier. You cannot earn points on orders placed through third-party resellers or retailers, such as Amazon, Walmart, or Target. Molekule may choose to offer limited time promotions during which some purchases will be eligible for “Bonus Points.” All Points are automatically added for eligible purchases, or deducted for eligible returns, to a Member’s Loyalty Account. 
  • Referrals. The Loyalty Program may provide you, as a Member, with the opportunity to earn Points for referring your friends to purchase qualifying Molekule products from us and your referred friend thereafter uses your referral discount code/link to make a qualifying Molekule purchase (“Referral Points”). Referrals can be made in a number of different ways (see https://molekule.com/pages/inner-circle ). Referral Points will be issued to your Loyalty Account only once per qualifying referral. 
  • Birthday Points. The Loyalty Program may provide Members with the opportunity to earn Points at or around their birthday of record if they choose to enter that information in their Loyalty Account (“Birthday Points”). To receive Birthday Points, Molekule may require you to have been a Member for a certain amount of time prior to your birthday of record and/or meet certain minimum purchase or Points requirements. 
  • Opt-in to Promotional Communications. The Loyalty Program may provide Members with the opportunity to earn Points in exchange for signing up to receive promotional and marketing offers from Molekule. 
  • Social Media Activity. The Loyalty Program may provide Members with the opportunity to earn Points by following Molekule accounts on social media, including Instagram and Facebook. 
  • Posting Reviews. The Loyalty Program may provide Members with the opportunity toearn points by posting reviews on the Site. Any review posted to earn points must include the hashtag “#MolekuleLoyaltyProgramReview.” Reviews that include a photo are eligible for additional Points. 

Molekule reserves the right, in its sole discretion, to determine and modify, at any time, the value of Points and the number of Points, or the type of Reward, that may be earned for any given Loyalty Program activity. 

7. Points and Rewards Redemption and Restrictions. 

Members may redeem Points for rewards as determined by Molekule in its sole discretion (each, a “Reward”). Available Rewards include future discounts on Molekule products purchased on the Site. The Rewards, Point redemption values, and Points per dollar spend, are posted on the Site at https://molekule.com/pages/inner-circle  and are subject to change in Molekule’s sole discretion at any time without prior notice. 

Points are normally posted to your Loyalty Account within fifteen (15) days from your corresponding Eligible Program Activities. When redeeming Points from your Loyalty Account for a Reward, Molekule will first redeem the oldest Points in your Loyalty Account (meaning first Points earned that are in your account at the time of the Reward redemption) and then redeem, as applicable, the Points in your account that were earned thereafter, until the Reward redemption amount has been satisfied. Please note that your Loyalty Account Points will expire within 18 months of first earning them (from the date of your corresponding Eligible Program Activity). For example, if a Member’s Eligible Program Activities (e.g., makes a purchase) occur on January 1, then that Member’s Points earned from that activity will expire on July 1 of the following year if they are not earlier used, whether in whole or in part, for a Reward redemption.  

The expiration date for your use of a redeemed Reward, if any, will be disclosed when the Reward is presented and may vary for different categories of Rewards. You may view your current earned Points and redeemed unused Rewards by logging into your Loyalty Account. Molekule, in its sole discretion, may impose a limit on the number of Points or Rewards in the aggregate or by type that may be earned or redeemed per Loyalty Account, per day, per Reward, or per any other generally-applicable metric that may be selected by Molekule from time to time in its sole discretion. Points are not accrued on any Reward redemption.  

Molekule reserves the right, at any time, to modify, amend, or revise, in its sole discretion, (i) the Rewards available, (ii) the number of Points required to redeem any Reward may be substantially increased, (iii) withdraw any Reward, and (iv) impose restrictions and other terms and conditions associated with any Reward or its redemption. Rewards are non-assignable and non-transferable. Any Rewards assigned or transferred in violation of these Loyalty Terms may be confiscated or canceled.  

Members shall be solely responsible for all federal, state, and/or local taxes including, without limitation, income taxes and any reporting consequences thereof in connection with a Reward. If required by law, as determined by Molekule in its sole discretion, Molekule reserves the right to withhold and remit to the appropriate taxing authorities the amount of any taxes due. 

Points and Rewards have no cash value and may not be redeemed for cash and may not be sold, auctioned, bartered, brokered, purchased, transferred, assigned, or used to engage in any gambling activity. Any Points or Rewards obtained in this manner by any person or entity will be considered to have been fraudulently obtained and deemed void and such Points and Rewards may be confiscated or cancelled by Molekule in its sole discretion. Points and Rewards must be redeemed in accordance with these Loyalty Terms, in effect at the time of such redemption. Points and Rewards will not be replaced, reissued, or credited if lost, stolen, or otherwise altered or destroyed.  

Once you have redeemed your Points for a Reward, your Points are removed from your Loyalty Account and your Point redemption Reward transaction is final, and cannot thereafter be cancelled, reversed, or refunded, for any reason. Even if you return the products, merchandise, or other item(s) that you received using your Reward, no Points or Rewards will be credited back to your Loyalty Account. 

8. Modification and Termination. 

In addition to as provided elsewhere in these Loyalty Terms, and without limiting such other provisions: 

Molekule may modify any of these Loyalty Terms, including, but not limited to, the methods through which Points or Rewards can be earned, how Points or Rewards can be used, the types of Points available, the Membership Tiers, and the conditions under which Points or Rewards may expire or be forfeited, at any time, with or without notice, even though these changes may affect a Member's ability to use the Points or Rewards that the Member has already earned. The Loyalty Program has no predetermined termination date and may continue until such time that Molekule decides to terminate the Loyalty Program.  

If Molekule amends these Loyalty Terms, it will revise the “last updated” date located at the top of these Loyalty Terms. For changes to these Loyalty Terms that Molekule considers to be material, Molekule may place a notice on the Site by revising the link on the home page to read substantially as “Updated Molekule Inner Circle™ Program Terms and Conditions” for an amount of time that we determine in our discretion. If you continue to participate in the Loyalty Program by earning Points or Rewards, redeeming Points or Rewards, logging onto your Loyalty Account or in any other way after these Loyalty Terms have been changed and posted, you will be deemed to have read, understood, and unconditionally consented and agreed to such changes. The most current version of these Loyalty Terms will be available on the Site and will supersede all previous versions of these Loyalty Terms. 

Members may not rely on continued Points or Reward availability. Molekule makes no representation or warranty about the number or type of Rewards that may be available after Loyalty Program termination has been announced, and many Rewards that may have been available prior to termination may quickly become depleted or otherwise unavailable once the Loyalty Program termination has been announced. Any Points or Rewards remaining in a Member's Loyalty Account at the time of Loyalty Program termination will be forfeited and no compensation will be provided.  

Molekule may cancel your membership in the Loyalty Program, cancel accumulated Points or Rewards, alter the number of Points or Rewards in your Loyalty Account, or suspend your Loyalty Program membership privileges at any time with immediate effect if Molekule determines in its sole discretion that you have: (a) acted in a manner inconsistent with applicable laws or ordinances; (b) acted in a fraudulent or abusive manner; (c) breached any of these Loyalty Terms; (d) engaged in any fraud or abuse concerning Points or Rewards, Points/Rewards usage or Points/Rewards redemption; (e) acting in an unethical or disruptive manner; (f) acting with intent to annoy, abuse, threaten or harass Molekule, its representatives, or any other Member in any manner related to the Loyalty Program; or (f) engaged in any conduct or act that causes Molekule to terminate or suspend your access to your Loyalty Account. Molekule may also take appropriate administrative or legal action if any of the items listed above occurs. Nothing contained in these Loyalty Terms shall limit Molekule in its exercise of any legal or equitable rights or remedies it may have against you, except as otherwise provided in Section 12 or in the Terms. 

9. Electronic Communications. 

When you visit the Site or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically, including targeted emails, surveys, promotional offers, and for other general business purposes. We will communicate with you by e-mail or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Loyalty Terms. We reserve the right to send you emails for administrative purposes even if you opt out of marketing communications. If you consented to receive SMS messages sent to your mobile phone, then you will receive marketing and transactional messages sent via auto dialer. You are not required to consent to receive these messages to receive the goods and services associated with the Loyalty Program. Message and data rates may apply to your receipt of these SMS messages. You may opt out of receiving SMS messages or emails at any time. 

 

10. General Terms and Conditions. 

ACCRUED POINTS AND REWARDS DO NOT CONSTITUTE PROPERTY OF A MEMBER AND HAVE NO VALUE OUTSIDE OF THE LOYALTY PROGRAM. POINTS AND REWARDS ARE CREDITS THAT MOLEKULE MAY REVOKE AT ANY TIME AS SET FORTH HEREIN. POINTS AND REWARDS ARE NOT TRANSFERABLE UPON DEATH, AS PART OF A DOMESTIC RELATIONS MATTER, OR OTHERWISE.  

If a Member believes that the Member’s Loyalty Account does not properly reflect Points or Rewards earned from engaging in any activities, the Member must contact Molekule to resolve the issue. Any attempt by any person to undermine the legitimate operation of the Loyalty Program may be a violation of criminal and civil law. Should such an attempt be made by you, Molekule reserves the right to seek damages from you to the fullest extent permitted by law.  

Molekule’s failure to enforce any of these Loyalty Terms shall not constitute a waiver of the affected provision, or any other provision. All questions or disputes regarding an individual’s eligibility for the Loyalty Program, the earning, crediting or use of Points or Rewards, or a Member’s compliance with these Loyalty Terms will be resolved by Molekule in its sole discretion. 

11. Loyalty Program Malfunctions and Conduct. 

In addition to as provided elsewhere in these Loyalty Terms, and without limiting such other provisions: 

The Program Entities are not responsible for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, or difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Additionally, the Program Entities are not responsible or liable for any computer, programming, printer errors or the issuance of any unintended Points or Rewards. In no event will Program Entities be liable for, and Members expressly release the Program Entities from any claims as to the issuance of any unintended Points or Rewards.  

In the event Molekule is prevented from continuing with the Loyalty Program by any event beyond its control (each a “Force Majeure” event or occurrence), including but not limited to: (i) fire, flood, earthquake, windstorm, epidemic, pandemic, public health crisis, disease, virus, sickness or outbreak or other similar or dissimilar natural disaster; (ii) act of God or public enemy; (ii) riot or civil disturbance, act of any government or governmental authority, power failure, satellite or equipment failure, failure of telecommunications lines or failure or breakdown of plant, machinery or vehicles operated by a third party; (iii) labor dispute, strike, or lockout; (iv) actual or threat of war, armed conflict, terrorist attacks, war (declared, undeclared or threatened), explosion, nuclear, or chemical or biological contamination; (v) or a government imposed travel ban, restriction on movement or gatherings, or other government imposed mandate of any kind, order of any court or jurisdiction, or other cause not reasonably within Molekule’s control, Molekule shall have the right to modify, suspend, or terminate the Loyalty Program, in whole or in part, in its sole discretion. 

12. Dispute Resolution and Class Action Waiver. 

You and Molekule agree that all disputes pertaining to the Loyalty Program or these Loyalty Terms will be resolved pursuant to the dispute resolution provisions provided for in the Terms and that such Terms shall govern and control in the event of a conflict or ambiguity with these Loyalty Terms.  

YOU AND MOLEKULE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER FOR DISPUTES PERTAINING TO THE LOYALTY PROGRAM OR THESE LOYALTY TERMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 

YOU AND MOLEKULE HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY AND ALL RIGHTS EACH OF THEM MAY HAVE (INCLUDING BUT NOT LIMITED TO, THEIR CONSTITUTIONAL OR STATUTORY RIGHT) TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING FOR ANY DISPUTE, INCLUDING BUT NOT LIMITED TO DISPUTES ARISING OUT OF, FROM, OR RELATING TO THESE LOYALTY TERMS OR THE RELATIONSHIP OF SUCH PARTIES. 

13. Privacy. 

Unless otherwise indicated in these Loyalty Terms, by participating in the Loyalty Program, Members agree that Molekule will use the personal information collected about them in connection with the Loyalty Program as set forth in Molekule’s Privacy Policy. 

14. Severability. 

If any provision of these Loyalty Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
